Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Iowa. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue in those courts.

 

11. ARBITRATION

 

11.1 Disputes

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Davenport, Iowa, using the English language under the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

 

11.2 Judgment

Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.

 

12. WAIVER AND SEVERABILITY

 

12.1 Waiver

No waiver by Illumina Consulting LLC of any term or condition set forth in these Terms shall be construed as a further or continuing waiver of such term or condition, nor as a waiver of any other term or condition. Additionally, any failure of Illumina Consulting LLC to assert a right or provision under these Terms shall not be interpreted as a waiver of that right or provision.

 

12.2 Severability

If any provision of these Terms is deemed by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of the Terms will continue in full force and effect.

 

13. ENTIRE AGREEMENT

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Illumina Consulting LLC regarding the Website and supersede all prior and current understandings, agreements, representations, and warranties, both written and oral, relating to the Website.
